### Definition

An external logistics company contracted to manage warehousing, fulfillment, or shipping on behalf of an operations team — typically the single highest-value and highest-dependency vendor relationship in any physical-product business.

A 3PL contract that looks like a standard service agreement often contains auto-renewal traps, uncapped pricing escalation mechanisms, and missing data portability provisions. Most companies discover these gaps when they are trying to leave a failing partner, not before.

- Your 3PL's on-time delivery rate has dropped two quarters in a row, and you have not formally escalated it.
- You don't know the exact date by which you must notify your 3PL to avoid auto-renewal.
- Nobody on your team has reread the 3PL contract since it was signed.
