### Definition

A contract provision that guarantees your right to export your data from a vendor's platform in a standard, usable format (CSV or JSON) upon contract termination, preventing your data from being effectively held hostage by a proprietary export format.

A missing data portability clause means that if you decide to leave a vendor, your historical data — configurations, records, and relationships, may only be exportable in a proprietary format unusable by any other system. This turns what could be a clean vendor exit into structural lock-in overnight.

### Indicators

- You cannot confirm, without checking the contract, what format your most critical vendor would use to export your data if you terminated the relationship today.
- At least one vendor contract in your portfolio was signed without a specific data portability provision and has not been audited since.
- Your data migration plan for any potential system transition assumes the vendor will cooperate, rather than confirming the cooperation is a contractual right.
