### Definition

The degree to which an operation's documentation, metrics, vendor contracts, and capacity planning are maintained at a standard that could survive external due diligence scrutiny without significant remediation.

Companies that treat exit readiness as a sprint triggered by a transaction spend their first thirty days of due diligence fixing problems they've had for years. 

Companies that maintain exit readiness as a continuous standard complete due diligence faster, with fewer surprises, and often at a higher multiple.

- Your vendor contracts, SOPs, and operational metrics have not been audited for due diligence quality within the last 12 months — and you are not certain they would pass without remediation.
- Your vendor contracts, process documentation, and metrics have never been audited for due diligence readiness.
- No assessment of your operational readiness has ever been conducted independent of a specific transaction.
