### Definition

A contractual specification of the minimum performance standard a vendor is required to meet, including the performance measurement methodology, the measurement source (vendor-reported vs. independently verified), and the consequences when the standard is persistently breached.

An SLA that specifies vendor-reported measurement and provides only financial credits for breach is a weaker commitment than it appears. 

A well-constructed SLA requires independent measurement, meaningful minimum performance thresholds, and a right to terminate, not just a credit when the threshold is persistently breached.

- Your vendor SLA performance is measured using the vendor's own reporting rather than your independent data.
- The consequence for an SLA breach in your most critical vendor contract is a financial credit with no termination right.
- You have never verified whether your stated SLA threshold represents the minimum acceptable performance or an aspirational target.
