### Definition

A contract clause that grants the contracting party the right to end a vendor agreement before its natural term expires, without requiring a vendor breach, typically with a defined notice period — preserving the right to exit that the contract would otherwise eliminate.

A vendor contract without a termination for convenience clause creates lock-in that is purely structural rather than commercial. 

You can't leave regardless of your preference, because the contract doesn't permit it. This clause is negotiable at signing and effectively cannot be negotiated after.
